Agreement to Terms
By accessing or using Scale Acquisition's services, you agree to be bound by these Terms and Conditions. If you disagree with any part, you may not access the Services.
Description of Services
Scale Acquisition provides AI-powered voice agents that:
Answer incoming phone calls
Qualify leads and gather information
Schedule appointments
Integrate with third-party software
Provide call analytics and reporting
Account Registration
Eligibility
You must be at least 18 years old and have authority to bind your business.
Account Information
You agree to provide accurate, current, and complete information during registration.
Account Security
You are responsible for maintaining confidentiality of your account credentials and for all activities under your account.
Fees and Payment
Pricing
Pricing is customized based on business requirements and agreed upon between Scale Acquisition and the client.
Typical engagements include:
Setup Fee: One-time implementation fee (varies by complexity)
Monthly Fee: Recurring subscription fee (varies by usage and features)
Specific fees will be outlined in your Service Agreement or Statement of Work.
All fees are non-refundable unless otherwise stated.
Agreement
Before services commence, both parties must execute a Service Agreement detailing:
Specific fees and payment schedule
Scope of services and deliverables
Implementation timeline
Custom integration requirements
Any special terms or conditions
No work will begin until the Service Agreement is signed by both parties and the initial payment is received.
Billing
Monthly fees are charged in advance based on the agreed schedule
Payment via credit card, ACH transfer, or wire as specified in your agreement
Failed payments may result in service suspension after a 7-day grace period
Late payments subject to 1.5% monthly service charge
Price Changes
Any pricing adjustments will be communicated in writing 30 days in advance. Your continued use after changes constitutes acceptance. Custom agreements may have different terms as specified in the Service Agreement.

Failed payments may result in service suspension

Client Responsibilities
You agree to:
Provide necessary business information promptly
Participate in training sessions
Approve AI scripts and call flows
Test the system before going live
Delays
Delays caused by client non-responsiveness may result in extended timelines without liability to Scale Acquisition.
Acceptable Use
You agree NOT to use Scale Acquisition for:
Illegal activities or fraud
Harassment or abusive calls
Spam or unsolicited communications
Violations of any third-party rights
Interference with service operation
Data and Call Recordings
Ownership
You retain ownership of your business data. Scale Acquisition retains ownership of AI models and aggregated analytics.
Call Recordings
By using our service, you consent to call recording. You must:
Inform callers that calls are recorded (where legally required)
Comply with all applicable call recording laws
Obtain necessary consents
Data Usage
We may use anonymized, aggregated data to improve our AI models.
Intellectual Property
Our IP
Scale Acquisition name, logo, software, and technology are our exclusive property.
Your IP
You retain rights to your business name, trademarks, and proprietary information.
License
We grant you a limited, non-exclusive, non-transferable license to use our Services during your subscription.
Confidentiality
Both parties agree to protect confidential information disclosed during the business relationship for a period of 3 years.
Limitation of Liability
Disclaimer
Services are provided "as is" without warranties of any kind, express or implied.
Limitation
Scale Acquisition's liability shall not exceed the total amount paid by you in the 12 months preceding the claim.
Exclusions
We are not liable for:
Indirect, incidental, or consequential damages
Lost profits or revenue
Data loss (except as required by law)
Service interruptions beyond our reasonable control
Indemnification
You agree to indemnify and hold Scale Acquisition harmless from claims arising from:
Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Your failure to comply with applicable laws
Term and Termination
Term
Subscriptions are month-to-month unless otherwise specified.
Termination by You
You may cancel with 30 days written notice. No refunds for prepaid periods.
Termination by Us
We may terminate for:
Non-payment
Violation of these Terms
Extended inactivity
Effect of Termination
Upon termination:
Service access ceases immediately
Your data will be available for export for 30 days
Outstanding fees remain due
Governing Law
These Terms shall be governed by the laws of [Your State/Country], without regard to conflict of law principles.
Dispute Resolution
Any disputes shall first be attempted to resolve through good faith negotiation. If unresolved, disputes shall be settled by binding arbitration in [Your City, State].
